Important Legal Notice

These Terms of Service ("Terms") govern your access to and use of Vybe, a VOIP communication platform operated by Megmaa Solutions. These Terms constitute a legally binding agreement between you and Megmaa Solutions.

By creating an account, accessing our website, or using our mobile applications, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.

Acceptance of Terms

Agreement to Terms

  • By accessing or using Vybe, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service
  • You must be at least 18 years of age to use our Services, or have parental/guardian consent if between 13-17 years old
  • Users under 13 years of age are strictly prohibited from using Vybe
  • This agreement constitutes a legally binding contract between you and Megmaa Solutions
  • If you do not agree to these terms, you must immediately discontinue use of our Services

Account Registration

Account Requirements

  • You must provide accurate, complete, and current information during registration
  • Each person or entity may maintain only one account unless expressly authorized by us
  • You are solely responsible for maintaining the confidentiality of your account credentials
  • You must use a strong password and enable two-factor authentication when available
  • You must immediately notify us of any unauthorized access or security breaches
  • You are responsible for all activities that occur under your account
  • We reserve the right to refuse service or terminate accounts at our sole discretion

Service Description

VOIP Services Provided

  • Vybe provides Voice over Internet Protocol (VOIP) calling and messaging services
  • Virtual phone numbers are subject to availability and regulatory requirements
  • Services are provided on an 'as available' basis and may be interrupted
  • Call quality depends on your internet connection and is not guaranteed
  • We do not guarantee service availability for emergency calls (911 or equivalent)

Emergency Services Limitation

  • Vybe is NOT a replacement for traditional landline or mobile phone emergency services
  • You must have an alternative means of accessing emergency services (911)
  • We are not liable for inability to contact emergency services through our platform
  • Location information may not be accurate for emergency response purposes

Acceptable Use Policy

Prohibited Activities

  • Illegal Activities: Using Vybe for any unlawful purpose or in violation of any local, state, national, or international law
  • Harassment or Abuse: Threatening, harassing, stalking, or otherwise violating the legal rights of others
  • Spam and Marketing: Sending unsolicited commercial messages, bulk SMS, or robocalls without proper consent
  • Caller ID Spoofing: Falsifying caller ID information to deceive recipients or circumvent blocking
  • Unauthorized Access: Attempting to access, probe, or test our systems for vulnerabilities without permission
  • Malware Distribution: Transmitting viruses, trojans, or any malicious code through our Services
  • Intellectual Property Violations: Infringing copyrights, trademarks, or other proprietary rights of third parties
  • Circumventing Restrictions: Bypassing any measures we use to prevent or restrict access to Services
  • Resource Abuse: Excessive use that impacts service availability for other users

Enforcement

  • Violations may result in immediate account suspension or termination without refund
  • We reserve the right to investigate suspected violations and cooperate with law enforcement
  • Repeated violations may result in permanent ban from using our Services

Payment Terms

Subscription and Billing

  • Vybe operates on a subscription-based pricing model (monthly or annual plans)
  • Subscriptions automatically renew at the end of each billing cycle unless canceled
  • You authorize us to charge your payment method on file for recurring subscription fees
  • All fees are charged in advance and are non-refundable except as required by law
  • No refunds or credits will be issued for partial subscription periods or unused services
  • Downgrading your plan may result in loss of content, features, or capacity

Price Changes

  • We reserve the right to modify subscription prices with 30 days advance notice
  • Price changes will take effect at the start of your next billing cycle
  • Continued use of Services after price changes constitutes acceptance of new prices
  • You may cancel your subscription before price changes take effect to avoid increased fees

Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of the current billing period
  • No partial refunds will be provided for the remainder of your billing period
  • Access to premium features will terminate immediately upon subscription expiration

Intellectual Property

Ownership

  • All content, features, and functionality of Vybe are owned by Megmaa Solutions
  • This includes but is not limited to: software, text, graphics, logos, icons, images, audio, video, and data compilations
  • Our trademarks, service marks, and trade dress may not be used without prior written consent
  • The Vybe name and logo are registered trademarks of Megmaa Solutions

Limited License

  • We grant you a limited, non-exclusive, non-transferable license to access and use our Services
  • This license does not include any right to: resell or commercial use, derivative works, data mining or scraping, or downloading (except for caching)
  • You may not reproduce, distribute, modify, or publicly display any part of our Services without permission
  • Unauthorized use may violate copyright, trademark, and other laws

Limitation of Liability

Service Disclaimer

  • Services are provided 'AS IS' and 'AS AVAILABLE' without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
  • We do not warrant that Services will be uninterrupted, secure, or error-free
  • We do not warrant that results obtained from Services will be accurate or reliable
  • Any content obtained through Services is accessed at your own risk

Damages Limitation

  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • This includes loss of profits, data, use, goodwill, or other intangible losses
  • Our total liability shall not exceed the amount you paid us in the last 12 months, or $20 USD if no payments were made
  • Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

Service Interruptions

  • We are not liable for service interruptions caused by maintenance, updates, or third-party failures
  • We are not responsible for telecommunication or internet service provider failures
  • We are not liable for inability to make emergency calls or contact emergency services

Termination

Termination by Us

  • We may suspend or terminate your account immediately for violations of these Terms
  • We may terminate accounts for prolonged inactivity (180+ days)
  • We reserve the right to refuse service to anyone for any lawful reason
  • No refunds will be provided for accounts terminated due to violations

Termination by You

  • You may cancel your account at any time through account settings
  • Account deletion is permanent and cannot be undone
  • You are responsible for exporting any data you wish to retain before deletion

Effects of Termination

  • Upon termination, your right to use Services immediately ceases
  • All provisions of these Terms that should reasonably survive will survive termination
  • This includes payment obligations, intellectual property provisions, disclaimers, and limitation of liability
  • We will delete your personal data within 30 days of termination, except as required by law

Dispute Resolution

Binding Arbitration

  • Any disputes arising from these Terms or use of Services shall be resolved through binding arbitration
  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • The arbitration will take place in Santa Clara County, California, or remotely by mutual agreement
  • The arbitrator's decision will be final and binding, with limited rights of appeal
  • You waive your right to participate in class actions or class arbitrations

Exceptions to Arbitration

  • Small claims court disputes (under $10,000) may be brought in small claims court
  • Intellectual property disputes may be brought in any court with proper jurisdiction
  • Emergency injunctive relief may be sought in court before arbitration

Governing Law

  • These Terms are governed by the laws of the State of California, USA
  • Jurisdiction is in the state and federal courts located in Santa Clara County, California
  • You consent to personal jurisdiction and venue in these courts

Changes to Terms

Modifications

  • We reserve the right to modify these Terms at any time at our sole discretion
  • Material changes will be notified via email and/or in-app notification at least 30 days in advance
  • Updated Terms will be posted on this page with a new 'Last Updated' date
  • Continued use of Services after changes constitutes acceptance of modified Terms
  • If you do not agree to modifications, you must stop using our Services and cancel your account

Indemnification

You agree to indemnify, defend, and hold harmless Megmaa Solutions, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Megmaa Solutions regarding the Services.
